Who provides Ernest
Ernest is provided by CHNY SOFTWARE, a French SASU registered with the Paris RCS under SIREN 100 333 053, with registered office at 1 rue Marguerin, 75014 Paris, France. In these terms, "Ernest", "Kubeply", "we", "us", and "our" refer to CHNY SOFTWARE for the Ernest product.
Eligibility and authority
You may use Ernest only if you can form a binding agreement and are authorized to connect the repositories, organizations, workspaces, channels, and code you submit to Ernest. If you use Ernest for a company or team, you represent that you have authority to bind that organization.
Private beta
Ernest is currently offered as a private beta. We may accept or decline waitlist requests, change beta functionality, limit access, suspend features, reset beta data, or stop providing beta access as we develop the product.
Beta availability and support
During private beta, Ernest is provided without any uptime, support, response time, data retention, roadmap, or feature commitment unless a separate written agreement says otherwise. We may pause inspections, disable integrations, or throttle usage to protect reliability, security, or development velocity.
Accounts and integrations
You are responsible for keeping credentials secure and for managing GitHub, Slack, CLI, and future integration permissions. You should install Ernest only on repositories, organizations, and channels where you have authorization and where the configured permissions match your security requirements.
Acceptable use
- Do not use Ernest for unlawful, harmful, abusive, deceptive, or infringing activity.
- Do not attempt unauthorized access, bypass security controls, probe non-public systems, or interfere with service operation.
- Do not upload secrets, regulated personal data, or confidential third-party data unless you are authorized and the data is necessary for the review.
- Do not overload the service, scrape it, resell beta access, or use Ernest to build a competing service without our written permission.
Your content and permissions
You keep ownership of your code, repository content, pull requests, comments, Slack messages, logs, and other content. You grant us the limited permission needed to host, copy, process, analyze, display, transmit, and store that content to provide Ernest, generate findings, preserve evidence, secure the service, and support your team.
Confidentiality
Non-public code, repository content, security findings, incidents, business information, and product information shared through Ernest should be treated as confidential. We will use customer confidential information only to provide, secure, support, and improve Ernest. You must also protect non-public Ernest materials, beta features, credentials, and documentation.
Review output
Ernest provides evidence, risk signals, findings, and review summaries. It does not guarantee that every issue will be found, that every finding is correct, or that a change is safe to merge or deploy. Your team remains responsible for code review, security review, release decisions, and production operation.
Third-party services
Ernest may depend on GitHub, Slack, hosting providers, model providers, payment providers, and other third-party services. Their terms and availability may apply to your use of those connected services.
Model providers and data use
Ernest may send limited product data to model providers to generate review output. We configure providers not to use Ernest customer data to train their models where provider controls are available. You remain responsible for deciding whether the code, comments, logs, and messages you connect to Ernest may be processed by those providers.
Fees
Waitlist access does not create a paid subscription. If paid plans, pilots, or enterprise terms are offered, the price, billing terms, usage limits, and cancellation rules will be stated in an order form, checkout flow, or separate written agreement.
Separate agreements
If you sign an order form, enterprise agreement, pilot agreement, Data Processing Addendum, or other written agreement with CHNY SOFTWARE for Ernest, that agreement controls where it directly conflicts with these terms.
Ernest intellectual property
CHNY SOFTWARE owns Ernest, the Kubeply brand, product design, software, documentation, workflows, and other materials we provide, except for third-party materials and your content. If you send feedback, you allow us to use it without restriction or compensation.
Privacy
Our Privacy Policy explains how we handle personal information and product data.
Suspension and termination
We may suspend or terminate access if you breach these terms, create security or operational risk, misuse integrations, or use Ernest in a way that could harm us, users, third parties, or the service. You may stop using Ernest and uninstall integrations at any time.
Export and security restrictions
You may not use Ernest in violation of export control, sanctions, security, or procurement laws that apply to you or to CHNY SOFTWARE. You may not use Ernest to develop malware, discover unauthorized vulnerabilities, bypass access controls, or process data you are prohibited from sending to third-party services.
Misuse responsibility
To the extent permitted by law, you are responsible for claims, losses, and costs arising from your unauthorized repositories, unlawful content, misuse of Ernest, breach of these terms, or violation of third-party rights.
Disclaimers and liability
Ernest is provided on an as-is and as-available basis, especially during private beta. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free output. To the maximum extent permitted by law, CHNY SOFTWARE will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption.
Governing law
Unless mandatory law requires otherwise or a separate written agreement states otherwise, these terms are governed by French law.
Changes
We may update these terms as Ernest changes. If an update materially affects your use of Ernest, we will take reasonable steps to notify affected users. Continued use after an update means you accept the updated terms.
